Terms of Sale
These Terms of Sale apply to paid subscriptions to U2 AI FinTech, U2 AI Carbon, U2 AI Performance, KDM, U2 AI SmartHome, U2 AI Visibility and U2 AI Portal, whether bought online or by quote. The terms of use of each product apply alongside them.
Seller and acceptance
The seller of the products is U2 AI Studio Teknoloji Anonim Şirketi (MERSIS 0883124471000001, Ankara Trade Registry No. 434199, Sincan Tax Office 8831244710), Ahi Evran OSB Mah. Erkunt Cad. No: 3 İç Kapı No: 41, Sincan / Ankara, e-mail info@u2aistudio.com ("U2 AI Studio", "we"). By buying a subscription you contract with U2 AI Studio for the use of the product.
By completing an order, or by continuing to use a paid product, you agree to these Terms of Sale. If you buy for a company, you confirm that you may bind it.
Merchant of Record
Our order process is conducted by our online reseller Polar Software, Inc. (polar.sh). Polar is the Merchant of Record for all our online orders. Polar provides all customer service inquiries about payments and handles refunds.
Payments, invoices for online orders and taxes are handled by Polar under Polar's buyer terms. Orders paid by bank transfer against our invoice are sold and invoiced directly by U2 AI Studio Teknoloji A.Ş.
Plans, seats and prices
Plans, included seats and prices are shown on our pricing page. A seat is one named user and may not be shared. Prices are in US dollars and exclude taxes, which are added according to your country. Customers in Türkiye pay in Turkish lira at the exchange rate of the payment day; customers in the European Union pay in euro at prices updated once a quarter. Enterprise plans are priced by quote.
Term, renewal and cancellation
Subscriptions run monthly or yearly and renew automatically at the end of each period until cancelled. You can cancel at any time from your account or through the Polar customer portal; cancellation takes effect at the end of the current period and you keep access until then. We tell you about any price change at least 30 days before it applies to your next renewal.
Failed payments
If a renewal payment fails, it is retried up to three times within seven days and we notify you by e-mail. If it still fails, access is suspended until payment is made. Your data is not deleted because of a suspension; it is kept as described in our Privacy Notice.
Refunds
You may ask for a refund within 14 days of any payment, as set out in our Refund Policy.
Quotes and bank transfer
Enterprise plans and orders paid by bank transfer are invoiced by U2 AI Studio by e-invoice. Where a signed quote or contract exists, it prevails over these Terms in case of conflict.
Acceptable use
You may not use the products for unlawful purposes, fraud or spam; infringe intellectual property; or interfere with security, including malware, probing, scanning, scraping or attempts to bypass access controls.
AI features
The products use artificial intelligence. You are responsible for the content you upload, for the prompts you give and for how you use the outputs. Outputs can contain errors and must be checked before they are relied on. You keep the rights to your content. If you believe content in a product infringes your rights, write to info@u2aistudio.com and we will review and, where justified, remove it. We may remove content that breaks these Terms.
Product-specific notes
U2 AI FinTech is a decision support tool. It does not give investment advice, does not execute or broker trades, and is not a substitute for the Capital Markets Board's decision, a valuation report or legal advice. U2 AI Carbon reports support your compliance work; they do not replace verification by an accredited verifier.
Intellectual property
U2 AI Studio keeps all rights in the products, their software and their content. A subscription gives you a non-exclusive, non-transferable right to use the product for the subscribed period.
Service level
We work to keep the products available and secure, but we do not guarantee uninterrupted or error-free service unless a service level has been agreed in a contract.
Suspension and termination
We may suspend or end a subscription in case of material or repeated breach of these Terms, non-payment, or a security or fraud risk. Where possible we tell you in advance.
Liability
To the extent permitted by law, our total liability under a subscription is limited to the fees you paid in the twelve months before the claim. This limit does not apply to liability that cannot be limited by law, including for intent and gross negligence.
Governing law and jurisdiction
These Terms are governed by Turkish law. Ankara Courts and Enforcement Offices have jurisdiction. If you are a consumer, the mandatory rules of your law and your right to apply to the consumer arbitration committee or consumer court are preserved. If the English and Turkish texts differ, the Turkish text prevails.
